("New Remy") (the "New Remy Merger"), pursuant to the Merger Agreement. The effective date of the New Remy Merger is December 31, 2014. This report is being filed by the reporting person solely to report the acquisition of New Holdco securities made in connection with the New Remy Merger.
- F2This Amendment is being filed to correct a rounding error in the number of shares acquired by the reporting person on December 31, 2014 in connection with the New Remy Merger. The reporting person acquired 2,548 shares. The Form 4 filing on December 31, 2014 previously reported that the reporting person acquired 2,549 shares.
