Explanation of responses
- F1On June 15, 2016, Hedgepath LLC transferred 2,560,000 shares of common stock to Hopkins Capital Group II, LLC ("HCGII") in satisfaction of $192,000 in then outstanding debt. This amendment to Form 4 is being filed by the Reporting Person to correctly reflect that the shares were transferred to HCGII and not transferred by HCGII to a third party.
- F2The shares are owned by HCGII. The Reporting Person is a discretionary beneficiary of an irrevocable spendthrift trust which directly owns a minority membership interest in HCGII. The Reporting Person disclaims ownership of all securities held by HCGII.
