(the "Company"), underlying time restricted stock units granted under the Company's 2011 Equity Incentive Plan (the "Plan") on May 5, 2017, one third of which are deliverable to Mr. Poole on each of the first, second and third anniversaries of the date of grant provided Mr. Poole is employed by the Company on the respective vesting dates, subject to the terms and conditions of the Plan.
