Explanation of responses
- F1On May 10, 2016, such entity, together with certain other entities in which the reporting person may be deemed to have beneficial ownership, entered into a stock purchase agreement with T. Rowe Price Associates, Inc., as investment adviser for and on behalf of certain funds and accounts, pursuant to which such entities agreed to sell these shares to such funds and accounts in the denominations specified in the agreement at a price of $84.00 per share.
