Explanation of responses
- F1This transaction was originally reported on Form 4 filed by the Reporting Person on 03/23/2015. The original Form 4 filed reporting this transaction included a footnote describing that the shares were issued pursuant to the terms and conditions of the 2009 Equity Incentive Plan of OmniComm Systems, Inc. and held in escrow to be released ratable over a three year period conditioned upon continued service of the Reporting Person. This report on Form 4/A is filed to reflect that, by written agreement between the Reporting Person and the Issuer dated November 7, 2017 and pursuant to the approval of the board of directors on August 3, 2017, the Issuer amended the terms of these shares and removed the condition of continued employment of the Reporting Person for release of the shares, and accordingly the shares were released from escrow to the Reporting Person.
