Explanation of responses
- F1696 shares of Class A Common Stock were withheld by the Company to satisfy the tax obligations of Charles J. Urstadt (the "Reporting Person") upon vesting of 2,000 shares on January 2, 2019. The closing price of Class A Common Stock on January 2, 2019 was $18.84.
- F2On January 2, 2019, the Issuer entered into an agreement with Charles J. Urstadt (the "Reporting Person") whereby the Reporting Person was granted a restricted stock award of 1,000 shares of Class A Common Stock that vests on January 2, 2024, pursuant to the Issuer's Amended and Restated Restricted Stock Award Plan (the "Restricted Stock Award Plan").
