Explanation of responses
- F1On January 2, 2018, the Issuer entered into an agreement with Willing L. Biddle (the "Reporting Person") whereby the Reporting Person was granted a restricted stock award of 100,000 shares of Common Stock that vests on January 2, 2027, pursuant to the Issuer's Amended and Restated Stock Award Plan (the "Restricted Stock Award Plan").

- F2Shares held by the reporting person, of which 995,000 are restricted shares, subject to vesting, issued pursuant to the Issuer's Restricted Stock Award Plan.
- F3On January 2, 2018, the Issuer entered into an agreement with Catherine U. Biddle, the spouse of the Reporting Person, whereby she was granted a restricted stock award of 1,100 shares of Common Stock that vests on January 2, 2023, pursuant to the Amended and Restated Stock Award Plan.
