Explanation of responses
- F1Those shares of Class A Common Stock of which Mr. Myers is the indirect beneficial owner, and which are owned by the Trust established under the Urstadt Biddle Properties Inc. Excess Benefit and Deferred Compensation Plan of 2005 (the "Compensation Plan Trust"), are subject to automatic reinvestment of dividends pursuant to the Issuer's Dividend Reinvestment Plan. On April 15, 2016, dividends on these shares were paid and automatically reinvested by the Compensation Plan Trust in additional Class A Common Stock for the benefit of Mr. Myers in the amount of 17.2321 shares.
- F2On June 10, 2016, Mr. Myers sold 5,000 shares of Class A Common Stock at prices ranging from $22.95 per share to $23.031 per share, with a weighted average price of $22.9709 per share. Upon a request from the Commission, the Issuer, or a shareholder of the Issuer, full information regarding the number of shares sold and the separate prices at which they were sold will be provided.
- F3This figure includes 57,250 restricted shares of Class A Common Stock issued pursuant to the Issuer's Amended and Restated Restricted Stock Award Plan.
