("UPCO"), a Delaware corporation of which Mr. Urstadt is Chairman and a controlling shareholder, purchased 29,340 shares of Class A Common Stock from a group of eight (8) employees of the Issuer, including Willing L. Biddle, the Issuer's CEO, in a private transaction.
- F2On January 22, 2016, UPCO purchased 6,250 shares of Class A Common Stock from Willing L. Biddle, the Issuer's CEO, in a private transaction.
- F3This figure includes 11,000 restricted shares of Class A Common Stock issued pursuant to the Issuer's Amended and Restated Restricted Stock Award Plan.
- F4Mr. Urstadt is the direct beneficial owner of 47,500 shares of Class A Common Stock of the Issuer, including 11,000 restricted shares referenced in footnote 3.
