Explanation of responses
- F1On January 4, 2016, the Issuer entered into an agreement with Robert J. Mueller (the "Reporting Person") whereby the Reporting Person was granted a restricted stock award of 1,050 shares of Class A Common Stock pursuant to the Issuer's Amended and Restated Restricted Stock Award Plan (the "Restricted Stock Award Plan").
- F2This figure includes 4,950 restricted shares of Class A Common Stock issued pursuant to the Restricted Stock Award Plan. On January 3, 2016, restrictions applicable to a previously reported grant of 950 shares of Class A Common Stock lapsed, resulting in the reporting person becoming fully vested in such shares. This resulted in no change in the number of shares beneficially owned by the Reporting Person.
- F3The Reporting Person is the direct beneficial owner of 11,050 shares of Class A Common Stock, including the 4,950 restricted shares referenced in Footnote (2). Additionally, he is the indirect beneficial owner of 31,950 shares of Class A Common Stock owned of record by the Robert J. Mueller IRA Rollover Account, for the benefit of the Reporting Person.
