- F1On January 16, 2015, Thomas D. Myers (the "Reporting Person") sold 6,000 shares of Class A Common Stock in a private transaction to Urstadt Property Company, Inc., a Delaware corporation, of which the Issuer's Chairman, Charles J. Urstadt, is Chairman and a controlling shareholder.
- F2This figure includes 71,000 restricted shares of Class A Common Stock issued pursuant to the Issuer's Amended and Restated Restricted Stock Award Plan.
- F3Mr. Myers is the direct beneficial owner of 128,950 shares of Class A Common Stock, including the 71,000 restricted shares referenced in footnote 2. In addition, he is the indirect beneficial owner of 1,297 shares of Class A Common Stock owned by the Trust established under the Urstadt Biddle Properties Inc.
