Explanation of responses
- F1Time of exercise: (i) 50% of the Warrant Shares shall initially be vested and exercisable as of 12/29/2015; (ii) the remaining 50% of the Warrant Shares shall become vested and exercisable as of 2/24/2016; provided, that if the Company or its affiliates have repaid in full the amount owed to Scott Miller pursuant to the Amended and Restated Promissory Note from MS Modernization Services, Inc. as of February 24, 2016, the unvested portion of this Warrant shall be cancelled as of such date.
