("KMG"), Cabot Microelectronics Corporation ("Cabot Microelectronics") and Cobalt Merger Sub Corporation, in exchange for 83,385 shares of Cabot Microelectronics common stock and $23,202,029 in cash consideration at the Effective Time of the merger.
