Explanation of responses
- F1Each restricted stock unit represents a right to receive one share of West common stock granted under the terms of the West Corporation Amended and Restated 2013 Long-Term Incentive Plan ("LTIP") and is subject to a deferral election under the West Corporation Stock Deferral Plan. These restricted stock units represent additional units credited to the filing person's deferral account as dividend equivalents earned on the stock units vested as of the applicable record date. In accordance with the terms of the Issuer's Stock Deferral Plan, these stock units become payable through the issuance of shares of the Issuer's Common Stock on the date specified by the filing person, or, if earlier, six months after the date the filing person separates from service with the Issuer or the date of death of the filing person.
