Explanation of responses
- F1The common stock was purchased by the reporting person in open market transactions on the transaction date, with a volume weighted average purchase price of $6.0667. The range of purchase prices on the transaction date was $6.0589 to $6.0805 per share. The reporting person undertakes to provide, upon request by the SEC staff, the issuer, or a security holder of the issuer, full information regarding the number of shares purchased at each price.
- F2Securities beneficially owned by Alpha Structured Finance LP ("Alpha Fund"). Mr. Ault is the Manager of Alpha Structured Finance GP LLC ("Alpha GP") and ACG Alpha Management LLC ("Alpha Management"). Alpha GP and Alpha Management are the general partner and investment manager to Alpha Fund, respectively. As a result of these relationships, Mr. Ault may be deemed to beneficially own the securities beneficially owned by Alpha Fund.
- F3Ault Lending, LLC ("Ault Lending"), is a wholly owned subsidiary of Hyperscale Data, Inc. ("HSD"). Milton C. Ault, III, the Executive Chairman of HSD, is deemed to have voting and investment power with respect to the securities held of record by Ault Lending.
- F4Securities beneficially owned by Ault & Company, Inc. ("Ault & Co."). Mr. Ault is the Chief Executive Officer and Chairman of Ault & Co. As a result of this relationship, Mr. Ault may be deemed to beneficially own the securities beneficially owned by Ault & Co.
