- F2Ms. Chan is a member of a "group" with certain other stockholders for purposes of Section 13(d) of the Exchange Act, as reported in the Schedule 13D of Ms. Chan as such other stockholders, as filed on April 12, 2013 and amended on April 17, 2013, October 27, 2015, January 19, 2016 and February 1, 2016. Ms. Chan may be deemed to have shared voting power over the additional 161,409,726 common shares reported in Table I of this Form 3 by virtue of the Voting Agreement and Joinder Agreements with such other stockholders named in the Schedule 13D, as amended. Ms. Chan has neither dispositive power nor a pecuniary interest in any such shares held by such other stockholders and disclaims beneficial ownership therein, and such other stockholders do not have voting or dispositive power or a pecuniary interest in the 150,000 shares owned directly by Ms. Chan.
