Explanation of responses
- F1Each restricted stock unit represents a contingent right to receive one share of the Company's common stock.
- F2This restricted stock unit award was granted on June 9, 2014 as an automatic, nondiscretionary award under the Company's 2011 Equity Incentive Plan upon the reporting person's reelection to the Company's Board at the Company's 2014 Annual Meeting of Stockholders. This award vests as to 25% of the total granted shares underlying the award on each of September 9, 2014, December 9, 2014, March 9, 2015 and June 9, 2015, and includes a voluntary termination provision stating that any unvested shares shall fully vest upon the Director's voluntary termination no less than six (6) months after the grant date.
