Explanation of responses
- F1Each restricted stock unit represents a contingent right to receive one share of the Company's common stock.
- F2This restricted stock unit award was granted on May 27, 2015 as an automatic, nondiscretionary award under the Company's 2011 Equity Incentive Plan upon the reporting person's reelection to the Company's Board at the Company's 2015 Annual Meeting of Stockholders. This award vests as to 25% of the total granted shares underlying the award on each of August 27, 2015, November 27, 2015, February 27, 2016 and May 27, 2016, and includes a voluntary termination provision stating that any unvested shares shall fully vest upon the Director's voluntary termination no less than six (6) months after the grant date. Accordingly, the final 5,000 shares of these restricted stock units vested on April 15, 2016, in conjunction with Ms. Atkins resignation from the Board.
