Explanation of responses
- F1On November 12, 2014, the issuer declared a stock dividend of 1 share of common stock, par value $0.01 per share ("Common Stock"), for every 9 shares of Common Stock owned by holders of record at the close of business on December 1, 2014. The stock dividend was paid on December 15, 2014. As a result, the reporting person received 1,747 shares of Common Stock. At the same time, pursuant to the anti-dilution provisions of the issuer's 2011 Omnibus Incentive Plan, all outstanding restricted stock units were adjusted to account for the stock dividend, resulting in the reporting person receiving 122 additional restricted stock units.
