Explanation of responses
- F1On November 12, 2014, the issuer declared a stock dividend of 1 share of common stock, par value $0.01 per share ("Common Stock"), for every 9 shares of Common Stock owned by holders of record at the close of business on December 1, 2014. The stock dividend was paid on December 15, 2014. As a result, the reporting person received 22 shares of Common Stock. At the same time, pursuant to the anti-dilution provisions of the issuer's 2011 Omnibus Incentive Plan, all outstanding restricted stock units were adjusted to account for the stock dividend, resulting in the reporting person receiving 1,351 additional restricted stock units.
- F2Restricted stock units convert into common stock on a one-for-one basis.
