Explanation of responses
- F1The performance-based restricted stock unit award is subject to vesting over four performance periods covering each of the Company's fiscal years 2016 through 2019, in each case subject to the reporting person continuing to be a service provider through the applicable vesting date. The awards become eligible to vest based on specified levels of the Company's stock price and the reporting person has the ability to earn up to 100% of the shares underlying the award based on achievement of all of the applicable perforrmance criteria.
