Explanation of responses

F1Represents an award to the Reporting Person of an equal number of restricted stock units (RSUs) granted pursuant to the Issuer's 2013 Equity Compensation Plan, which are scheduled to vest and settle in three approximately equal annual installments (34%, 33%, and 33% per year) on February 24th immediately following the first, second and third anniversaries of the grant date, respectively.
F2Represents an award to the Reporting Person of an equal number of performance-based restricted stock units (PRSUs) granted pursuant to the Issuer's stock incentive plan, as approved by the Compensation and Pension Committee of the Board of Directors (the "Committee") on February 18, 2015. On February 19, 2014, the Reporting Person was granted an opportunity to earn a maximum of 4,600 PRSUs (2,300 PRSUs at Target), subject to the achievement of the performance measure during the 2014 performance period. The Committee reviewed and certified the business results for the PRSUs on February 18, 2015 and determined that performance at 121% of Target had been attained for the performance period. The earned PRSUs will become vested and settle in three approximately equal installments (34%, 33% and 33%) on February 24, 2015, February 24, 2016 and February 24, 2017, respectively.
F3Represents an award to the Reporting Person of an equal number of PRSUs granted pursuant to the Issuer's stock incentive plan, as approved by the Committee on February 18, 2015. On February 22, 2012, the Reporting Person was granted an opportunity to earn a maximum of 10,600 PRSUs (5,300 PRSUs at Target), subject to the achievement of the performance measure during the 2012-2014 performance period. The Committee reviewed and certified the business results for the PRSUs on February 18, 2015 and determined that performance at 47% of Target had been attained for the performance period. 100% of the earned PRSUs will settle on February 24, 2015.
