Explanation of responses
- F1Assuming a recipient's continued employment (or death or disability while employed) and the satisfaction of certain performance goals is achieved, these awards would vest at the end of a three-year performance period that begins on January 1, 2016 and ends on December 31, 2018 (the "Performance Period"). The restricted performance shares will vest only upon the Company's return on invested capital being in the top decile of the Company's peers as published by Bloomberg upon the close of the NYSE market on the last day of the Performance Period. If this criteria is not met, then no shares shall vest and the award shall be forfeited.
